About the course

The role of board secretary is one that all boards should include. It often is, but unfortunately this role is rarely formalised enough. That’s why having up-to-date, enhanced skills in this area is crucial for you to succeed in your role. It also makes you a more attractive candidate for future board assignments. 

Who is the course for?

This course is designed for current or aspiring secretaries of boards.

Our board secretary training is also highly rewarding for other board members, as it provides better insight into how the work of the board should be managed. You will thus benefit from the course regardless of whether you are already working as a board secretary or whether you want to take on the role some time in the future.

What can you expect from the course?

You will gain a comprehensive picture of what you need to think about as a board secretary, how to design the work of the board, and the legal aspects that you need to consider.

Topics that will be covered include: taking meeting minutes, laws and regulations, the nature of limited liability companies, annual general meetings, owner directives, corporate management (board of directors and CEO), conflicts of interest, duty of confidentiality, exceeding a mandate of power, and auditors and their duties.

The course is led by Carl Svernlöv, lawyer at Baker & McKenzie, and Nina Axelsson, program director at Michaël Berglund Board & Leadership Services.

Carl Svernlöv
Lecturer, Lawyer Baker McKenzie

Carl Svernlöv is a lawyer and partner at the global law firm Baker & McKenzie and an adjunct professor of corporate law at Stockholm University. He is a well-known figure in corporate governance and responsibility issues. Svernlöv is the author of 12 books and over 150 articles on Swedish and international business and commercial law. He primarily works and conducts research on topics related to corporate law and transactions. Carl Svernlöv is a board member of the Raoul Wallenberg Academy, a non-profit foundation that – with Raoul Wallenberg's deeds and leadership as inspiration – aims to empower young people to stand up for human rights and act with moral courage.
